Please read these Terms of Service carefully before using Eduroot's platform. By accessing or using our Services, you agree to these Terms. If you are using Eduroot on behalf of a school, college, or university, you confirm that you have the authority to bind that institution. For questions, contact us at legal@eduroot.africa.
By accessing or using Eduroot's website, mobile applications, APIs, and services (collectively, the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these Terms, you must not access or use the Services.
These Terms constitute a legally binding agreement between you and Eduroot Technologies Ltd ("Eduroot", "we", "us", or "our"), a company registered in Zambia. If you are using the Services on behalf of an institution, you represent that you have the authority to bind that institution to these Terms.
We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes your acceptance of the revised Terms.
Eduroot provides a cloud-based education management platform that enables schools, colleges, and universities to manage student information, academic records, fee collection, communications, and related administrative functions.
We reserve the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.
Certain features of the Services may be subject to additional guidelines, terms, or rules, which will be posted on the Services in connection with such features. All such additional terms are incorporated by reference into these Terms.
To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding the password and access credentials that you use to access the Services and for any activities or actions under your account. You agree to notify us immediately of any unauthorized use of your account.
We reserve the right to disable any user account at any time in our sole discretion, including if we determine that you have violated these Terms or that your account has been inactive for an extended period.
Institution administrators are responsible for managing user roles and permissions within their organization. Eduroot is not liable for actions taken by authorized users of an institutional account.
You agree not to use the Services for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Services or interfere with any other party's use of the Services.
You may not attempt to gain unauthorized access to any portion of the Services, other accounts, computer systems, or networks connected to the Services through hacking, password mining, or any other means.
You agree not to upload, transmit, or distribute any viruses, malware, or other harmful computer code through the Services. You also agree not to use the Services to store or process any data that violates the rights of any third party, including intellectual property rights and privacy rights.
We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this section, including removing offending content, suspending accounts, and reporting violations to law enforcement authorities.
Certain features of the Services require payment of fees. All fees are quoted in the currency specified during the subscription process and are exclusive of applicable taxes unless stated otherwise.
For institutions using Eduroot's fee collection features to collect payments from parents or students, Eduroot charges a transaction fee as disclosed at the time of transaction. This fee may vary based on the payment method (e.g., MTN MoMo, Airtel Money, card payments).
Subscription fees are billed in advance on a monthly or annual basis, depending on your selected plan. All payments are non-refundable except as required by law or as explicitly stated in a separate agreement.
If we are unable to process your payment, we may suspend your access to paid features until payment is successfully processed. We reserve the right to change our fees upon reasonable notice.
Your use of the Services is also governed by our Privacy Policy and Cookie Policy, which are incorporated into these Terms by reference. By using the Services, you consent to the collection, use, and sharing of your data as described in those policies.
Institutions retain ownership of all student data, academic records, and institutional content uploaded to the Services. Eduroot acts as a data processor and will only use such data to provide, maintain, and improve the Services.
We implement industry-standard security measures to protect your data, including encryption in transit and at rest, role-based access controls, and regular security audits. However, no system is completely secure, and we cannot guarantee absolute security.
You are responsible for ensuring that your collection and use of student data complies with all applicable laws, including data protection regulations in your jurisdiction.
All content, features, and functionality of the Services — including but not limited to software, text, graphics, logos, icons, images, audio clips, and code — are owned by Eduroot or its licensors and are protected by copyright, trademark, and other intellectual property laws.
Eduroot grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms. This license does not include any right to resell, redistribute, or create derivative works of the Services.
You retain ownership of any content that you upload, submit, or transmit through the Services ("User Content"). By uploading User Content, you grant Eduroot a worldwide, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing the Services to you.
To the maximum extent permitted by applicable law, Eduroot and its directors, employees, partners, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your access to or use of the Services.
In no event shall Eduroot's total liability to you for all claims arising under these Terms exceed the amount you paid to Eduroot for the Services in the twelve (12) months preceding the event giving rise to liability, or one hundred US Dollars (USD $100), whichever is greater.
The limitations of liability in this section apply regardless of the legal theory on which a claim is based, whether in contract, tort (including negligence), strict liability, or otherwise, and even if Eduroot has been advised of the possibility of such damages.
You agree to defend, indemnify, and hold harmless Eduroot and its affiliates, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Services.
This indemnification obligation shall survive the termination of these Terms and your use of the Services.
We may terminate or suspend your access to all or part of the Services, without prior notice or liability, for any reason whatsoever, including if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
If you are an institution, upon termination we will provide you with a reasonable opportunity to export your data, subject to any outstanding payment obligations.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Zambia, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If such negotiation fails, the dispute shall be submitted to binding arbitration in Lusaka, Zambia, in accordance with the Arbitration Act of Zambia.
You agree that any legal action or proceeding arising out of these Terms shall be brought exclusively in the courts located in Lusaka, Zambia, and you consent to the jurisdiction and venue of such courts.
